Buy-side
On the buy-side we provide services to evaluate a firm's internal capability to acquire and necessary organizational improvements before they undertake this important activity. Services include evaluation of profitability and resultant valuation, cash flow, organizational model, board make-up, system capabilities, corporate team competency (CFO, Legal, HR, IT), and fit with their strategic plan. Combining the evaluation with services offered under Performance Improvement (as in profitability, cash-flow and growth) can reduce the cost of an acquisition by working on your operating metrics, not the targets purchase price.
Sell-side
On the sell-side advanced planning is an imperative.The Performance Improvement services again can be deployed, increasing profitability and cash flow as well as identifying and cleaning up any issues that due diligence would uncover as problematic. All of these services are value added to the management and employees of the buying and selling firms as well as the Board of Directors, in particular the outside directors.
Due Diligence
Most Due Diligence performed is overly reliant on lawyers and accountants and part-time internal expertise. There are limited options for credible outside operational and human due diligence, which creates the most value. Also, Boards of Directors do not get much comfort in the ultimate success of the deal from their current reliance on due diligence performed by lawyers and accountants.
Acquisitions by their very nature are critical decisions with significant risk. Adding unbiased professional expertise elevates the success quotient.
